Qualified Investor Definition

I hereby confirm that I wish to be treated as a Qualified Investor ("QI") for the purpose of accessing Virtual Asset Derivatives products and services offered by HashKey.

I declare that I satisfy the eligibility requirements prescribed by HashKey and applicable regulations for classification as a Qualified Investor, including the minimum net asset requirement of AED 3,500,000.

HashKey reserves the right to determine the eligibility and valuation methodology applicable to any assets submitted.

Consequences of Being Treated as a Qualified Investor

By requesting and agreeing to be treated as a Qualified Investor, I acknowledge and understand that HashKey may provide access to products and services that are not available to ordinary individual clients.

In particular, I understand that Qualified Investors may be granted access to Virtual Asset Derivatives products which involve additional risks and complexities.

I further acknowledge that HashKey may rely upon my Qualified Investor status when determining the level of customer assessment, disclosures, product access and other requirements applicable to my account.

Asset Declaration

I declare and confirm that:

(a) the Applicant possesses net assets with an aggregate value of not less than AED 3,500,000 or annual income with an aggregate value of not less than AED 700,000;

(b) all assets submitted in support of this application are legally and beneficially owned by the Applicant;

(d) the assets have not been temporarily transferred, funded, borrowed or otherwise arranged solely for the purpose of satisfying the Qualified Investor threshold;

(e) the supporting documents provided to HashKey are true, accurate, complete and not misleading.

I acknowledge that HashKey may reject this application if the submitted assets do not satisfy the Company's assessment requirements.

Liquidity Declaration

I acknowledge that Qualified Investor status requires assets to demonstrate a reasonable degree of liquidity.

I therefore declare that:

(a) the assets submitted are currently liquid or reasonably capable of liquidation;

(b) the assets are expected to remain available for a reasonable period;

(c) the assets do not consist of temporary funding arrangements or same-day transfers intended solely to satisfy the eligibility threshold.

HashKey may request additional information or evidence regarding the liquidity of any submitted assets.

Virtual Asset Knowledge and Experience

I acknowledge that i am required to possess relevant virtual asset knowledge and experience.

I confirm that:

(a) the relevant director(s) responsible for directing derivatives trading activities have completed and passed the Virtual Asset Knowledge Test required by HashKey; or

(b) such other evidence of virtual asset knowledge and experience as may be accepted by HashKey has been provided.

I understand that HashKey may refuse or revoke Qualified Investor status where the relevant knowledge requirements are not satisfied.

Risks Associated with Virtual Asset Derivatives Trading

I acknowledge and understand that Virtual Asset Derivatives are complex financial products and involve significant risks.

These risks include, but are not limited to:

(a) substantial market volatility;

(b) leverage risk;

(d) counterparty risk;

(e) technology and operational risk;

(f) the possibility of losing all or substantially all invested capital.

I understand that past performance is not indicative of future performance and that HashKey does not guarantee any profit, return or protection against loss.

I have independently evaluated these risks and have determined that Virtual Asset Derivatives trading is appropriate for the Applicant.

Right to Withdraw Qualified Investor Status

I agree that unless and until HashKey receives written notification from me requesting withdrawal of my Qualified Investor status, HashKey shall be entitled to continue treating me as a Qualified Investor.

Any request to withdraw Qualified Investor status shall not affect:

(a) any transaction executed prior to the effective date of withdrawal;

(b) any rights, obligations or liabilities arising from such transactions.

HashKey reserves the right to determine the effective date of any withdrawal request.

Ongoing Notification Obligation

I agree to promptly notify HashKey if:

(a) I no longer satisfy the requirements for Qualified Investor classification;

(b) my qualifying assets fall below the required threshold;

I understand that failure to provide such notification may result in suspension, restriction or termination of derivatives trading access.

Periodic Review

I acknowledge that HashKey may conduct periodic reviews of my Qualified Investor status.

HashKey may require updated information, supporting documents, declarations or evidence of continued eligibility from time to time.

Failure to provide such information may result in suspension or removal of Qualified Investor status.

Affirmation

I acknowledge and declare that:

(a) I have read and understood the contents of this declaration;

(b) I understand the risks and consequences of being treated as a Qualified Investor;

(d) I have had the opportunity to obtain independent legal, financial, tax or professional advice;

(e) all information and supporting documents provided in connection with this application are true, accurate, complete and not misleading;

(f) HashKey may rely upon this declaration when assessing my eligibility for Qualified Investor status.

I acknowledge and accept the contents of this declaration and certify that the statements made herein are true, complete and correct.
