Terms and Conditions of HashKey MENA Promotional Campaigns

1. About HashKey MENA FZE:
   These Terms and Conditions ("General Terms") govern promotional campaigns offered by HashKey MENA, a virtual asset service provider operated by HashKey MENA FZE, which is licensed by Dubai Virtual Assets Regulatory Authority ("VARA") for (i) Exchange Services and (ii) Broker-Dealer Services (VASP Reference: VL/25/03/002).
   A reference to VARA license does not constitute an endorsement, recommendation or guarantee by VARA of any campaign, Virtual Asset, Reward or service.
2. Application of these General Terms:
   These General Terms apply together with the announcement, eligibility criteria, campaign period, reward mechanics and any other campaign-specific terms published through HashKey MENA's officially designated communication channels("Campaign-Specific Terms").
3. Eligibility:
   Promotional campaigns allow eligible participants to earn rewards ("Rewards") for completing specified tasks, such as account registration. Participants must meet the age of majority and other eligibility requirements in their jurisdiction. HashKey MENA may also distribute special promotional codes for claiming extra Rewards.
4. Participation and Campaign Period:
   Participants must complete all required actions accurately and within the campaign period stated in the Campaign-Specific Terms. Entries that are late, incomplete, duplicated, inaccurate, submitted through an unofficial channel or otherwise non-compliant will not qualify.
   Unless expressly stated otherwise, participation is voluntary and does not require a participant to purchase, hold or trade a Virtual Asset. Where a campaign involves trading or another regulated service, the participant must separately satisfy all applicable onboarding, suitability, product-access and transaction requirements.
5. Rewards:
   The type, amount, allocation method, number of recipients, distribution schedule, expiry date and any claiming requirements for Rewards will be stated in the Campaign-Specific Terms.
   Rewards have no cash value and cannot be exchanged, transferred, or sold, unless otherwise stated.
   HashKey MENA may withhold, cancel or recover a Reward where the participant was ineligible, breached the applicable terms, received the Reward in error or engaged in prohibited conduct.
   Where a Reward is denominated in or consists of a Virtual Asset, its market value may fluctuate materially and may fall to zero. Any value displayed at the time of award is indicative only. HashKey MENA does not guarantee the value, liquidity, transferability or continued availability of any Reward.
6. Fair Participation and Prohibited Conduct:
   Fraud, misrepresentation, collusion, multiple or linked accounts, automated participation, manipulation, abuse of campaign mechanics, unauthorised access and any attempt to obtain an unfair advantage are prohibited.
   HashKey MENA may investigate suspected misconduct, suspend distribution while a review is ongoing, disqualify a participant and recover improperly obtained Rewards. Any decision will be based on the applicable terms, available records and regulatory obligations.
7. Compliance and Account Controls.
   HashKey MENA reserves the right, at its sole discretion, to reject any participant’s entry, delay or withhold the distribution of any Reward, or request additional verification information, where deemed necessary to comply with legal, regulatory, financial-crime, security, or account-protection requirements.
   Nothing in these General Terms limits HashKey MENA’s obligations to report suspicious activity or comply with applicable law.
8. Changes, Suspension and Cancellation:
   HashKey MENA reserves the right, at its sole discretion, to amend, suspend, extend or terminate a campaign where it deems reasonably necessary or advisable, including but not limited to cases involving legal or regulatory requirements, fraud or abuse, technical failure, security concerns, market disruption, force majeure, or any other circumstances beyond its reasonable control.
9. Personal Data:
   HashKey MENA may collect, use, retain, transfer and disclose personal data for campaign administration, eligibility verification, Reward distribution, fraud prevention, legal and regulatory compliance and related purposes in accordance with its Privacy Policy and applicable data-protection requirements.
   Participants should review the Privacy Policy before participating. Where a campaign uses a third-party form or service, the relevant third party’s privacy terms may also apply and will be identified where applicable.
   HashKey MENA will not ask participants to disclose passwords, private keys, seed phrases or authentication codes to claim a Reward. Participants should independently verify links and communications and promptly report suspected impersonation or fraud.
10. Limitation of Liability:
    To the extent permitted by applicable law, HashKey MENA will not be liable for indirect, incidental, special or consequential loss arising from participation in a campaign, including loss caused by events outside its reasonable control.
    Nothing in these General Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, wilful misconduct, gross negligence or mandatory consumer rights.
11. Complaints and Enquiries:
    Questions or complaints concerning a campaign may be submitted through HashKey MENA’s official complaints channels.
    Complaints will be handled in accordance with HashKey MENA’s Complaints Handling Policy and applicable regulatory requirements. Nothing in these General Terms restricts a participant’s right to contact a competent authority where legally permitted.
12. Governing Law and Jurisdiction:
    These General Terms and each campaign are governed by the applicable federal laws of the United Arab Emirates and VARA's Rulebook.
13. Severability
    If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, in whole or in part, by any court of competent jurisdiction or any other relevant authority, such provision shall be severed from these Terms and Conditions to the extent necessary to cure such invalidity, illegality, or unenforceability, without affecting the validity, legality, or enforceability of any other provision. The remaining provisions shall remain in full force and effect.
14. Disclaimer:
    The information contained herein does not constitute any form of investment advice and generally applies to all marketing and promotional campaigns of HashKey MENA, unless otherwise specified.
    To the extent permitted by applicable law, HashKey MENA will not be liable for any loss or damage incurred as a result of participating in a campaign. The campaign-specific rules, terms and conditions, and disclaimers shall also apply.
    Participants are responsible for ensuring that their conduct complies with applicable laws and regulations. HashKey MENA reserves the right to determine the specific arrangements and Rewards for each campaign and may reasonably modify, suspend, or terminate a campaign in accordance with the applicable terms.
    Each campaign is open only to eligible participants. Fraudulent conduct or any attempt to obtain an unfair advantage is prohibited and may result in disqualification.
    By participating, you acknowledge that HashKey MENA may process your personal data in accordance with its Privacy Policy. You may exercise your applicable data protection rights as described in the Privacy Policy.
    For participants located in the United Arab Emirates, these General Terms may be made available in Arabic to ensure accessibility and compliance with local consumer protection requirements. In the event of any inconsistency between the English and Arabic versions, the English version shall prevail to the extent permitted by law.
